5. Charges
If the Charges are not paid in accordance with the Company's invoice, the Company shall be entitled so far as is permitted by law and without prejudice to any other rights it may have to charge interest on the outstanding amount (both before and after judgement) at the rate of 6% above the base rate from time to time of Barclays Bank plc, from and including the due date but excluding the date the outstanding amount is paid in full.
Neither the Company or the Customer shall be entitled to set off a credit against any amount owed to it by the other under the terms of this Agreement or under any other agreement prior to completion of this Agreement.
Upon termination of this Agreement the Customer shall be bound to pay any outstanding amount of the Charges in respect of the Services received up to and including the date of termination and the Company agrees to refund in full the difference between the Charges for the Services received up to the date of termination and the amount actually received by the Company from the Customer.
6. Advertising and sponsorship
The Website may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Website complies with applicable laws, codes and regulations. We exclude to the fullest extent permitted by law any responsibility for any error or inaccuracy appearing in any advertising or sponsorship material. Please refer to our Privacy Policy for the use of cookies in relation to targeting potential advertisers.
7. Competitions and Prize Draws

16. Supply of Services
The Company agrees to supply the Services to the Customer on the following conditions, though please note that these conditions are not an offer to provide service but merely a statement of the terms on which we would provide them.
The Company shall (subject to Clause 4.1) supply the Services to the Customer as soon as reasonably practicable and in any event no later than 30 days from the Commencement Date of the Agreement.
The Company shall inform the Customer of any delay in the delivery of the Services as soon as reasonably practicable.
The Company shall provide a full refund of the Charges (subject to Clause 4.1) to the Customer if it is unable to supply the Services within 30 days from and including the Commencement Date of the Agreement.
17. Intellectual Property Rights
All Intellectual Property Rights of the Company in any Equipment and ancillary documentation shall at all times for the Duration Period of this Agreement remain vested in the Company.

18. Force Majeure
The Company shall not be liable for any failure in performing its obligations under this Agreement due to circumstances beyond its reasonable control such as:
In agreements to on-line access to remote databases due to failure or problems with phone lines and/or third party suppliers.
Wars, riots or other major upheavals.
Natural disaters such as earthquakes, hurricanes or floods.
Performance failures of parties outside the control of allUKschools.com
19. Changes to these Terms and Conditions
We reserve the right to make changes to any part of the Website. Due to our policy of updating and improving the Website, it may therefore be necessary to change these terms. In the event that we change the terms, we will notify you by providing a clear link within the relevant Website to the detailed changes. If you use the Website after we have published or notified you of the changes, you will be agreeing to be bound by those changes. 20. Consumer's Cancellation Rights
Any Customer buying as a consumer has the unreserved right to cancel this Agreement at no cost and without any reason within 7 days from either:
The date the contract is formed.
The date that confirmation that the contract is formed is received from the Company whichever is the later.
The Customer may exercise the right of cancellation by notifying the Company in writing at the Company's address shown in Clause 1.1 by sending a fax to the Company at allUKschools.com, Devlin House, 36 St. George St, Mayfair, London, W1S 2FW
The Customer will no longer have this right once the Company has commenced provision of the Services with the Customer's consent. The Customer shall be deemed to have given such consent by accepting these Terms and Conditions.
21. Termination
We may terminate the provision of the Website or restrict your access to them without any prior notice to you where (by way of example and without limitation):
There is a regulatory or statutory change limiting our ability to provide the Website.
Any event beyond our reasonable control prevents us from continuing to provide the Website (for example, without limitation, technical difficulties, capacity problems and communications failures).
We consider in our sole discretion that you are abusing the services provided by the Website or are otherwise acting in breach of these terms.
As this is a shared service with other users, you agree that if the demand for the services provided by the Website is in excess of our ability to meet the capacity, we may either share the capacity among all users or we may give you notice by email that the provision of the Website will terminate. Any such termination will not affect your accrued liabilities incurred prior to any such termination.
